Practice Areas
Corporate Advisory Law Group was founded in 1997 by Carol Webster Millie and the late Richard G. Bell. The firm specializes in general counsel to companies which do not have in-house counsel, either because of size or a conscious desire to purchase rather than internalize legal services. We also offer specialized expertise in contract negotiation, strategic partnership formation and mediation and facilitation of disputes in young companies.
Our practice is distinguished from larger law firms which are generally organized by specialty and rarely employ lawyers with broad or in-house experience. Their account partners," function primarily to direct clients to other lawyers within the firm for needed services but who cannot offer broad experience covering the entire enterprise. At CALG, we enjoy long term relationships with our clients which enable us to understand their business and to help them avoid legal problems where possible and manage them when they occur. Our outside consultative experience and in-house general counsel experience are beneficial to our clients in a number of key respects including:
- We take the time to know our clients and their businesses.
- We have expertise in more than one area of the law.
- We emphasize "preventive law" and have a reputation for keeping our clients out of costly legal conflicts.
- Having run a legal department at less than half the average in-house cost, for over a decade, we know how to deliver value.
- Our emphasis is on timely, practical, focused advice, not costly law review-length memos and letters with voluminous descriptions of
alternatives.
- We provide internal management training, with practical materials and checklists for many every-day legal situations (Our Legal Resource
Handbook includes a brief but comprehensive intellectual property protection program; (including non-disclosure agreements for job applicants,
vendors, customers, and joint venture/merger partners), checklists for business combinations including joint ventures and other strategic
alliances, checklists for employment decisions including hiring, promotion, managing, termination, evaluation of independent contractor/employee
issues and numerous others.
- For those areas in which we do not practice, we help our clients find the best specialists in a variety of law firms: we are not limited to
referrals within our own practice. We have worked with and recommend the most cost-effective, outstanding practitioners available, whether solo
practitioners or individual members of nationally known firms. In our opinion, no single law firm can provide the best lawyers for every matter
that arises; and as former purchasers of legal services, we understand the importance of finding the right talent and value. As generalists, we
act as partner to our clients by offering our broad expertise. In summary, we provide the breadth, depth and knowledge that our business clients
expect of a general counsel.
